Volunteer Agreement

TogetherSF is a California public benefit corporation that has been conferred tax-exempt status under section 501(c)(3) of the Internal Revenue Code. I understand that TogetherSF’s mission is to make San Francisco into a city that works for everyone—a city of action and compassion that addresses its citizens’ most urgent needs and invests in our collective future. I wish to volunteer my time to support this effort. 

By agreeing to serve as a volunteer for TogetherSF, I acknowledge that entry into this agreement (“Agreement”) is in consideration of my participation as a volunteer, and confirm my understanding of and agreement to the terms herein.  

  1. Purpose and Non-Employee Status:  I am participating as a volunteer for TogetherSF voluntarily and without coercion, as an act of public service.  I understand that (a) I am not an employee of TogetherSF due to my participation as a volunteer for TogetherSF, (b) I will not be paid for such participation, and (c) I am not covered by or eligible for any TogetherSF insurance, health care, worker’s compensation, or other benefits.  I am not entitled to, do not expect, and will not seek any wages or any other compensation or benefits from the TogetherSF or any other person for the time I spend volunteering.

  2. Code of Conduct.  I agree to comply with the reasonable instructions of TogetherSF staff when volunteering for TogetherSF. I will obey the policies, rules, and regulations of TogetherSF and comply with the TogetherSF’s practices and procedures. 

  3. Term; Termination.  This Agreement will begin on the date upon which this Agreement is executed below and shall continue until terminated by either party.  Either party may terminate this Agreement at any time for any or no reason; provided, however, that Sections 1, 4, 5, 6, 7, and 8 of this Agreement shall survive indefinitely its termination for any or no reason.

  4. Photo and Recordings Grant. I hereby grant to TogetherSF, and anyone authorized by TogetherSF, permission to: (a) photograph and record me on film, videotape, audiotape, digital media or otherwise (the "Photographs and Recordings"); (b) use the Photographs and Recordings of me obtained by TogetherSF; (c) edit and modify any existing or resulting Photographs and Recordings; and (d) use and distribute such Photographs and Recordings, in whole or in part, together with my name, likeness, voice, story, comments, and persona, in any manner or media and for the purpose of supporting TogetherSF, as determined by TogetherSF in its sole discretion. I represent and warrant that I have all rights necessary to grant such permission as set forth herein and that no infringement or violation of any third party rights will result from the use of my name, likeness, voice, story, comments, or persona as captured in the Photographs and Recordings.  I understand and agree that TogetherSF will own all rights of any kind in the Photographs and Recordings, and that I will retain no rights therein.  I further understand that TogetherSF shall have no obligation to make any use of the Photographs or Recordings and that all rights granted herein are fully sub-licensable and assignable. 

  5. Confidentiality.  During the course of my volunteer participation, I may encounter or be granted access to TogetherSF confidential information. At all times during and after my participation, I agree to hold any such confidential information in confidence and not disclose or use it except as TogetherSF expressly authorizes.

  6. Waiver and Release. I assume all of the risks of volunteering and serving as a volunteer for TogetherSF, and I agree that TogetherSF shall not be liable for any injury, illness, or damage to person or property that may arise during the course of performing such volunteer activities or via TogetherSF’s use of Photographs and Recordings. On behalf of me and my assigns, heirs, legal representatives, executors, agents, and any organization or entity with which I am affiliated, I hereby agree to DEFEND, INDEMNIFY, RELEASE AND DISCHARGE TOGETHERSF and its directors, officers, employees, agents, representatives, and successors (collectively, the “Released Parties”) FROM ANY AND ALL CLAIMS, LIABILITIES, RIGHTS, DEBTS, SUITS, COMPLAINTS, PROMISES, CROSS-CLAIMS, CONTROVERSIES, DAMAGES, AND/OR DISPUTES asserted or unasserted, known or unknown, that arise in any way from: (1) my participation as a volunteer for TogetherSF, (2) out of or in connection with the use of my name, likeness, voice, story, comments, or persona, or any of the content I provide in the Photographs and Recordings, or (3) the breach or alleged breach of any of the representations or warranties I make in this grant and release.  This waiver and release is irrevocable, TogetherSF may proceed in reliance thereon, and I agree that I will not be entitled to injunctive relief that would interfere with the use or other exploitation of the Photographs and Recordings.  I understand that I will not be entitled to any compensation for the permission and release granted herein or for any use of the Photographs and Recordings.  I hereby attest that I have read, and agree, to the above statements.

  7. Choice of Law; Venue.  This Agreement shall be governed by the laws of California, without regard to conflict of law principles, and shall fully bind me and my heirs, assigns, executors, and legal representatives. Any dispute arising from this Agreement shall be brought only in the district or federal courts located in the California, and the Parties agree to the jurisdiction and venue of those courts.

  8. Miscellaneous. If any portion of this Agreement is found to be invalid or unenforceable, then the remainder of this Agreement will continue in full force and effect. Any invalid provision will be modified or partially enforced to the maximum extent permitted by law to carry out the purpose of the Agreement.
